These Terms of Service ("Terms") govern your access to and use of Cladfy's website, applications, and services ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.
Cladfy ("Company", "we", "us", or "our") provides financial technology tools including CashIQ, Microlender, Logiclabs, KYC & KYB services, Copilot, and eSignatures (collectively, the "Services").
You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Platform, you represent that you meet these eligibility requirements.
If you are using the Services on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for safeguarding your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
Your use of the Services is subject to our Privacy Policy and Data Submission Policy, which are incorporated into these Terms by reference.
You acknowledge that the Services process financial and personal data and consent to such processing in accordance with our privacy policies.
If you access our Services through APIs, you agree to comply with our API documentation and rate limits. We reserve the right to throttle or suspend API access for excessive or abusive usage.
API keys are confidential and must not be shared publicly. You are responsible for all API calls made with your credentials.
All content, software, algorithms, models, designs, and trademarks on the Platform are owned by Cladfy or its licensors. Nothing in these Terms grants you ownership of any intellectual property.
You retain ownership of data you submit to the Platform, but grant us a license to process it as necessary to provide the Services.
Certain Services require payment. Fees are as described on our pricing pages or in your service agreement. All fees are non-refundable except as expressly stated.
We may change our fees with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Services will be uninterrupted, error-free, or secure. Credit scoring and financial analysis outputs are informational and should not be the sole basis for lending decisions.
To the maximum extent permitted by law, Cladfy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Our total liability for any claims arising from these Terms or the Services shall not exceed the amount paid by you in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless Cladfy and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.
Either party may terminate the account at any time. We may suspend or terminate your access immediately if you breach these Terms.
Upon termination, your right to use the Services ceases. Sections that by their nature should survive termination will survive.
These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved through arbitration in Nairobi, Kenya, under the rules of the Nairobi Centre for International Arbitration.
We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Continued use after changes constitutes acceptance.
